Tax Law Practice Group
The firm’s tax practice group handles a broad array of tax planning for business organizations, tax-exempt organizations, and individuals in the areas of federal, state, and local income tax, employment tax, property tax, sales and use tax, and estate and gift tax. The firm also handles its clients' disputes with local state departments of revenue as well as the Internal Revenue Service (IRS).
Business-tax planning services include planning relating to business start-up operations and acquisitions including tax-free and taxable acquisitions, business ownership changes including transition of closely-held businesses from generation to generation, reorganizations, financings, divisions, and liquidations and other terminations. The firm’s tax lawyers practice both tax and business law giving them the skills necessary to understand the business as well as tax needs of the transaction at hand. We represent a broad range of businesses including publicly traded corporations, private-equity firms (using both limited liability company and limited partnership structures), as well as mid-size and smaller business entities including limited liability companies, S corporations, and partnerships. The firm recently designed several joint-ventures involving health care organizations, agriculture businesses, as well as other businesses. The firm also has experience with the preparation of tax opinions for its business clients as well as requests for private letter rulings from the IRS.
The tax practice group has assisted in the establishment of many tax-exempt entities and the maintenance of such status. The firm’s not-for-profit clients include hospitals and other healthcare providers, charitable and religious organizations, as well as private foundations. Our representation includes the establishment of the entities as tax-exempt as well as consultation regarding compliance issues. We have also assisted our not-for-profit clients in matters relating to unrelated business taxable income.
